What did the FTA publish?

The FTA has issued a Top-up Tax Guide on Scope and Registration. It helps multinational enterprise (MNE) groups understand how the Top-up Tax applies in the UAE and what registration follows. It is meant for people responsible for the tax affairs of entities that may belong to an MNE group, and for tax agents. The Guide (first version, August 2026) is not legally binding and is subject to change without notice.

  • The scope test.

The tax applies to Constituent Entities located in the UAE that belong to an MNE group with annual revenue of EUR 750 million or more in the Ultimate Parent Entity's consolidated financial statements, in at least two of the four fiscal years immediately before the year under review.

  • Who is outside.

Groups that conduct their activities exclusively within the UAE are not in scope, whatever their revenue.

  • Not subject to the tax.

The Guide lists Excluded Entities (such as governmental entities, non-profit organisations and pension funds), UAE Investment Entities, and stateless Constituent Entities that are not Reverse Hybrid Entities. The Ministry of Finance also says groups in the initial phase of international activity are excluded where no Income Inclusion Rule applies to a UAE entity; the Guide adds that an entity whose Top-up Tax is deemed zero must still register. The UAE currently has neither an Income Inclusion Rule nor an Undertaxed Profits Rule.

  • Entity types.

The Guide gives explanations and examples for permanent establishments, joint ventures, flow-through entities and hybrid entities, and covers where entities and permanent establishments are located.

  • Registration and return.

It covers who must register, the process, the timelines, the penalty for late registration, and filing of the Pillar Two Information Return.

  • Global context.

The FTA says the UAE was listed in the OECD central record on 18 August 2025 with transitional qualified status. The global rules aim for an effective tax rate of at least 15% in each jurisdiction where a group operates.

The FTA stresses that the Guide should be read in its entirety.

Who is affected, and who files?

UAE entities of large multinational groups are affected, together with their group finance and tax teams.

Ministerial Decision No. 133 of 2026, dated 3 August 2026, sets out who files the Pillar Two Information Return with the FTA. It names each UAE Constituent Entity other than an Investment Entity, each UAE Joint Venture and JV Subsidiary, and each UAE-created Stateless Constituent Entity that is a Reverse Hybrid Entity. A Designated Local Entity may file on their behalf. No filing is needed if the Ultimate Parent Entity or a Designated Filing Entity has filed in a jurisdiction with a Qualifying Competent Authority Agreement in effect with the UAE, but the FTA must be told who is filing and where.

Ministerial Decision No. 96 of 2026, dated 22 June 2026, adopts the OECD Commentary and Agreed Administrative Guidance and repeals Ministerial Decision No. 88 of 2025.

What should finance teams do next?

These five moves are practical advice from Neurasix, not requirements of the Guide or the legislation. The legislation applies to fiscal years beginning on or after 1 January 2025, so a calendar-year group that met the revenue test for 2025 would already be in its second in-scope year.

  1. Test the revenue threshold.Check the EUR 750 million test against consolidated statements for the four preceding years, not only the latest.
  2. Map every UAE entity.List Constituent Entities, permanent establishments, joint ventures, flow-through and hybrid entities.
  3. Confirm registration status. If a UAE entity is in scope, check whether it has registered, whether to appoint a Domestic Designated Filing Entity, and who owns the filing. For a calendar-year group in scope for 2025, the Guide's 30 November 2026 date would apply.
  4. Plan the information return.Agree data sources, owners and sign-off, and whether a parent or Designated Filing Entity abroad will file.
  5. Brief auditors and the board.Record the scope conclusion and its basis.

Registration deadlines and penalty

Any Entity subject to Top-up Tax, including a Domestic Designated Filing Entity (DDFE) if one is appointed, must register with the FTA on the EmaraTax portal, whether or not it is registered for Corporate Tax. Under the Guide (section 8.4, citing FTA Decision No. 12 of 2026), for a Fiscal Year ending before 30 April 2026 the application should be submitted on or before 30 November 2026. In all other cases it is due within 7 months from the end of the first Fiscal Year in which the Entity is in scope. Entities whose Top-up Tax is deemed zero, for example under a safe harbour, must still register.

The Guide (section 8.5) says an Administrative Penalty of AED 10,000 applies where an Entity does not register in time. Where a DDFE fails, it applies for each Entity concerned. Neither the Guide nor Ministerial Decision No. 133 of 2026 sets a filing deadline for the Pillar Two Information Return. Take dates from the Guide and the legislation, not from this summary.
